1. About these terms

JustPin is a service of TURPOINT BV, with its registered office at Kerkakkersstraat 15, 9770 Kruisem, Belgium, registered with the Crossroads Bank for Enterprises under number BE 0798.484.994 ("Turpoint", "we", "us"). You can reach us at info@turpoint.com.

These terms apply to every use of JustPin, including the website justpin.it, the dashboard at app.justpin.it, the review pages, the widget script and the API. By creating an account or using JustPin, you accept these terms. Your own general terms do not apply, unless we have accepted them in writing.

JustPin is a professional tool meant for businesses, freelancers and organisations. By accepting these terms you confirm that you act for professional purposes, and not as a consumer.

2. Definitions

3. Your account

To use JustPin you need an account. You give us correct and complete information and keep it up to date. You keep your login details to yourself and are responsible for everything that happens through your account and team, including what your team members do.

If you suspect someone else has access to your account, let us know right away at info@turpoint.com.

4. Plans, prices and payment

JustPin offers a free plan and paid plans. Each plan has its own limits, such as the number of team members and sites, and its own features. The plans and prices shown on our website or in the dashboard at the time you subscribe apply. Prices exclude VAT unless stated otherwise.

Paid plans are billed in advance, per month or per year, and renew automatically for the same period until you cancel. You can cancel at any time from the dashboard; the cancellation takes effect at the end of the current billing period. Amounts already paid are not refunded, unless the law requires it.

When you upgrade, the new plan applies immediately. When you downgrade, the new plan applies from the next billing period, and you make sure your usage fits within its limits.

If a payment fails or an invoice remains unpaid, we may suspend paid features or the account after a reminder. Late payments carry interest and a fixed compensation as set out in the Belgian Act of 2 August 2002 on combating late payment in commercial transactions.

We may change our prices. We will tell you at least 30 days in advance. A new price applies from your next billing period after that notice, and you can cancel before it takes effect.

5. Acceptable use

You only use JustPin for lawful purposes and in line with these terms. In particular, you do not:

If you break these rules, we may remove content or suspend access, where possible after warning you first.

6. Reviewers

Reviewers do not need an account. They use JustPin through a review link you share with them. You decide who gets a review link, and you are responsible for how reviewers use it. You inform your reviewers about how their data is processed, and you make sure they respect section 5.

Anyone with a review link can leave feedback on the site it belongs to. Treat review links as confidential and revoke them when they are no longer needed.

7. Your content

Your content stays yours. You give us a limited licence to store, copy, display and process it only as far as needed to provide, secure and improve JustPin for you.

Screenshots are taken of what a reviewer sees on your site, so they may contain anything shown on that page. You are responsible for the content of your sites and for the content you and your reviewers add, and you guarantee that you have the rights needed to do so.

You are responsible for keeping your own copy of anything important. JustPin is not a backup service.

8. Personal data

For your account and billing, Turpoint processes your personal data as a controller, as described in our privacy policy.

For the content you collect through JustPin, such as reviewers' names, email addresses, comments and screenshots, you are the controller and Turpoint acts as your processor. In that role we process personal data only on your instructions and to provide the service, in line with the General Data Protection Regulation (GDPR). The data processing agreement that is part of these terms sets out the details. JustPin is hosted in the European Union.

9. Availability and support

We do our best to keep JustPin available, secure and working well, but we cannot guarantee that it will always be free of interruptions or errors. We may carry out maintenance, preferably at quiet times and announced in advance where reasonably possible.

We keep improving JustPin and may add, change or remove features. If we remove a key feature of a paid plan, we will tell you in advance and you can cancel before the change takes effect.

10. Intellectual property

All intellectual property rights in JustPin, including the software, the widget, the design and the JustPin name and logo, belong to Turpoint or its licensors. For the duration of your subscription, you get a non-exclusive, non-transferable right to use JustPin for your own business within the limits of your plan.

If you send us ideas or suggestions, we may use them freely and without any obligation to you.

11. Liability

Turpoint is only liable for direct damage caused by its own fault. We are not liable for indirect damage, such as lost profits, lost revenue, lost data, lost customers or reputational damage.

Our total liability per year is limited to the amount you paid us for JustPin in the 12 months before the event that caused the damage. On the free plan, our liability is limited to € 100.

These limits do not apply in case of fraud, intentional misconduct or where the law does not allow liability to be limited.

You hold Turpoint harmless against claims from third parties, including your reviewers and your own clients, that result from your content, your sites or your use of JustPin in breach of these terms or the law.

We are not liable for failures caused by circumstances beyond our reasonable control, such as outages at hosting or network providers, cyberattacks, or government measures.

12. Term and termination

These terms apply for as long as you have an account. You can close your account at any time. Paid subscriptions end as described in section 4.

We may end or suspend your account with immediate effect if you seriously or repeatedly break these terms, if you do not pay after a reminder, or if you become insolvent. We may also end the free plan or your account for other reasons with 30 days' notice.

After your account ends, we delete your content within a reasonable time, unless the law requires us to keep it. Export anything you want to keep before then.

13. Changes to these terms

We may change these terms. We will let you know about important changes by email or in the dashboard at least 30 days before they take effect. If you do not agree, you can cancel before that date. If you keep using JustPin after the changes take effect, you accept the new terms.

14. Applicable law and disputes

These terms are governed by Belgian law. If a dispute arises, we first try to solve it together. If that does not work, the courts of Ghent, Oudenaarde division, have exclusive jurisdiction.

If a provision of these terms turns out to be invalid, the other provisions remain in force and the invalid one is replaced by a valid provision that comes as close as possible to its purpose.
